Client Definition: “Client” refers to the entity that accepted a Quote or Proposal from DSI.
Quotes: Governed documents defining service details.
Important Notes: This Agreement includes arbitration provisions and limits liability for Third Party Services.
Applicability: This is a master agreement; services are defined per Quote and Service Guide.
Conflicts: Quote terms override this document in case of conflict.
Third Party Providers: DSI selects and facilitates third-party service providers.
Advice: Follow DSI’s advice (hardware upgrades, security actions).
Co-Management: Shared responsibility when working with other IT vendors.
Modifications and Access: Unauthorized changes void DSI responsibility.
Response Times: May vary depending on Downtime and Transition periods.
Fees: Defined per Quote; includes taxes and surcharges.
Payment Methods: ACH preferred; card payments may incur 4% fee.
Late Payment: Interest of 1.5% per month may apply.
No refunds on Third Party Products after order.
Liability capped at 6 months of service fees or $10,000.
DSI is not liable for admin/root access errors or legacy devices.
Term begins at first service and ends 30 days after final service.
Termination Without Cause requires notice; With Cause requires written breach notice.
Auto-Renewal: Managed Services renew automatically unless canceled in writing.
Parties agree to protect Confidential Information unless legally compelled.
All disputes resolved via binding arbitration under AAA rules in Dallas County, TX.
Compliance services require full disclosure and separate agreement.
No Poaching: $250,000 penalty for hiring DSI employees within 1 year.
Data & Access: Some services/data may reside outside of the US.
